Terms of Service

Welcome to CookLab. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and CookLab ("we," "us," "our," or "CookLab") governing your access to and use of the CookLab website, mobile application, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1 Acceptance of Terms

By accessing or using CookLab, you agree to be bound by these Terms and our Privacy Policy. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

You must be at least 13 years old to use CookLab. If you are under 18 years of age, you must have parental or guardian consent to use the Service, and they must agree to these Terms on your behalf.

2 Description of Service

CookLab is a collaborative recipe experimentation platform that treats cooking like software development. The Service includes:

  • Creating, storing, and managing recipes with version history
  • Forking and iterating on recipes from other users
  • Rating and providing feedback on recipe iterations
  • Following other users and discovering their recipes
  • Planning meals and creating shopping lists
  • Setting reminders for recipes you want to try
  • Exporting recipes to PDF and EPUB formats
  • Subscription-based premium features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3 User Accounts and Responsibilities

Account Creation

To access certain features of CookLab, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials (username and password). You agree to:

  • Not share your account credentials with anyone else
  • Immediately notify us of any unauthorized use of your account
  • Log out from your account at the end of each session

User Responsibilities

You agree to:

  • Use the Service in compliance with all applicable laws and regulations
  • Not attempt to gain unauthorized access to any part of the Service
  • Not interfere with or disrupt the integrity or performance of the Service
  • Not collect or store personal data about other users without their consent
  • Be respectful in your interactions with other users

4 Subscription and Payment Terms

Subscription Plans

CookLab offers both free and premium subscription plans. The free plan provides basic access to the Service, while premium plans (monthly and yearly) provide additional features as described on our pricing page.

Payment Processing

Subscription payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan. All payments are non-refundable except as required by law or as specifically stated in these Terms.

Subscription Changes

You may upgrade, downgrade, or cancel your subscription at any time through your account settings. If you downgrade or cancel:

  • Downgrades take effect at the start of your next billing cycle
  • Cancellations take effect at the end of your current billing period
  • You will retain access to premium features until the end of your paid period
  • Your data will be preserved according to our data retention policies

Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any price changes via email or through the Service.

Failed Payments

If your payment fails, we may suspend your premium features until payment is successfully processed. You are responsible for ensuring your payment information is current and valid.

5 User Content

"User Content" means any content you submit, post, or display on or through the Service, including but not limited to recipes, ingredients, steps, images, comments, ratings, and feedback.

Ownership of User Content

You retain ownership of all User Content you submit to CookLab. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, display, and perform your User Content in connection with providing and promoting the Service.

User Content Representations

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not infringe on the intellectual property rights of any third party
  • Your User Content is accurate and not misleading
  • Your User Content complies with these Terms and all applicable laws

Content Moderation

We reserve the right, but are not obligated, to review, moderate, remove, or edit any User Content at any time without notice. We may remove content that violates these Terms or is otherwise objectionable in our sole discretion.

6 Intellectual Property

CookLab Intellectual Property

The Service, including all content, features, functionality, software, designs, graphics, logos, and trademarks, are owned by CookLab and its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Recipe Forks and Derivatives

CookLab encourages recipe experimentation through our fork feature. When you fork another user's recipe, you create a derivative work. While you own your derivative recipe as your User Content, you must include appropriate attribution to the original recipe as determined by our fork tracking system.

Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without compensation or obligation to you.

7 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Illegal activities: Using the Service for any illegal purpose or in violation of any local, state, national, or international law
  • Harassment: Harassing, threatening, intimidating, or abusing any user
  • Spam: Sending unsolicited messages, comments, or ratings
  • Impersonation: Pretending to be someone else or misrepresenting your identity
  • Malicious content: Posting content that contains viruses, malware, or other harmful code
  • Scraping: Automated scraping or data extraction from the Service without permission
  • Commercial exploitation: Using the Service for commercial solicitation without authorization
  • Inappropriate content: Posting content that is obscene, defamatory, hateful, or discriminatory
  • Intellectual property infringement: Posting content that infringes on the rights of others

8 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY USER CONTENT OR THIRD-PARTY CONTENT
  • WARRANTIES REGARDING THE QUALITY, SAFETY, OR LEGALITY OF ANY RECIPES OR INSTRUCTIONS PROVIDED BY USERS

YOU UNDERSTAND AND AGREE THAT ANY RECIPES OR INSTRUCTIONS YOU ACCESS THROUGH COOKLAB ARE CREATED BY OTHER USERS. WE DO NOT VERIFY THE ACCURACY, SAFETY, OR COMPLETENESS OF USER-CONTENTED RECIPES. YOU ASSUME ALL RISKS ASSOCIATED WITH USING SUCH RECIPES.

9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COOKLAB, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • DAMAGES RESULTING FROM ANY USER CONTENT OR CONDUCT OF ANY THIRD PARTY
  • DAMAGES ARISING FROM RECIPES, INSTRUCTIONS, OR OTHER CONTENT PROVIDED BY USERS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS GREATER. THE LIMITATIONS IN THIS SECTION APPLY EVEN IF THE LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

10 Indemnification

You agree to indemnify, defend, and hold harmless CookLab and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your access to or use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your conduct in connection with the Service

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

11 Termination

Termination by You

You may delete your account at any time through your account settings or by contacting us. Upon deletion, your account and personal information will be removed according to our Privacy Policy, subject to legal retention requirements.

Termination by CookLab

We may suspend or terminate your account, restrict your access to the Service, or remove any content at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Illegal activity
  • Non-payment of subscription fees
  • Extended period of inactivity
  • Behavior that harms other users or the Service

Effect of Termination

Upon termination, your right to use the Service immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby consent to personal jurisdiction and venue in such courts.

13 Changes to Terms

We reserve the right to modify, amend, or replace these Terms at any time. If we make material changes, we will:

  • Post the updated Terms on the Service with a new "Last updated" date
  • Provide notice through the Service or via email to the address associated with your account
  • Provide at least 30 days' notice before material changes take effect

Your continued use of the Service after the effective date of any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
